First thing first, you need to unlock the looked bootloader. After unlocking you must root it so you actually need flash ClockworkMod Recovery on your Xoom using ROM Manager. When all done then follow the steps below.
How to Install Android 4.0.3 on Motorola Xoom:
Step 1: Download the Ice cream Sandwich ROM.zip file from here and the Google apps for ICS from MediaFire. After that you need to transfer all these to sdcard or the root of your tablet.
Step 2: Now you need to launch the ROM manager and tap on the Reboot into Recovery. Sooner you tablet will boot into ClockworkMod (CWM) Recovery. If this doesn’t work then shut it down and then boot into the ClockworkMod using a specific button combination.
Step 3: Just wipe data/factory reset, wipe cache as well as wipe dalvik cache from ClockworkMod (CWM).
Step 4: Once the data are wiped out then you must install the zip from the sdcard-> choose zip from sdcard (The ROM file in Step 1).
Step 5: Likewise, install the zip from the sdcard-> choose zip from sdcard (The app file downloaded in step 1).
Step 6: Yes, all the proceedings are completed and now it’s time to reboot the system.
